Terms of Service

The rules of the road for using Cloxly.

These terms govern your use of Cloxly. By creating an account or using our service, you agree to these terms. If you don't agree, please don't use Cloxly. We've kept this as straightforward as possible.

The basics

Cloxly is a time tracking service. We provide the software, you use it to track time, manage projects, and generate reports. Simple as that.

You must be at least 16 years old to use Cloxly. By using our service, you confirm that you meet this requirement.

Your account

You're responsible for keeping your account secure. That means using a strong password and not sharing your login credentials with others. If you think someone has gained unauthorized access to your account, let us know immediately.

The information you provide when signing up must be accurate. If anything changes (like your email), please update your account.

If you're creating an account on behalf of a company or organization, you confirm that you have the authority to bind that entity to these terms.

What you can do

With a Cloxly account, you can:

  • Track time and manage projects for yourself or your team
  • Connect Cloxly to third-party tools through our integrations
  • Export your data at any time
  • Use our API to build custom integrations (subject to our API terms)

What you can't do

To keep things fair and safe for everyone, please don't:

  • Use Cloxly for anything illegal
  • Try to access other users' accounts or data
  • Reverse-engineer, decompile, or otherwise attempt to extract our source code
  • Use automated tools to scrape or overload our service
  • Resell or redistribute Cloxly without our permission
  • Use the service in a way that could harm Cloxly or other users

Your data

Your data is yours. You own everything you put into Cloxly — time entries, projects, notes, all of it. We don't claim any ownership over your content.

By using Cloxly, you give us permission to store, process, and display your data back to you (and your team members, if applicable). This is just so we can run the service — we won't use your data for anything else.

You can export or delete your data at any time. For details on how we handle your information, see our Privacy Policy.

Payments and billing

Cloxly offers both free and paid plans. If you're on a paid plan:

  • You'll be billed on a recurring basis (monthly or annually, depending on your selection)
  • Your subscription renews automatically until you cancel
  • Prices may change, but we'll give you at least 30 days' notice before any price increase takes effect

All sales are final. You can cancel your subscription at any time, and you'll continue to have access to your paid plan until the end of your current billing period. We do not offer refunds for partial billing periods.

Free trials

We may offer free trials for paid plans. When a trial ends, you'll be automatically moved to a paid subscription unless you cancel before the trial period is over. We'll remind you before your trial expires.

Cancellation

You can cancel your account at any time from your account settings. When you cancel:

  • If you're on a paid plan, you'll keep access until the end of your billing period
  • After cancellation, your data will be deleted within 30 days
  • Once deleted, your data cannot be recovered — so make sure to export anything you need first

When we might suspend or close an account

We'd rather not, but we reserve the right to suspend or terminate your account if:

  • You violate these terms
  • Your use of Cloxly poses a security risk to us or other users
  • You don't pay for a paid plan after we've tried to contact you
  • We're required to by law

If we suspend or close your account, we'll try to give you reasonable notice and an opportunity to export your data, unless doing so would compromise security or violate the law.

Service availability

We work hard to keep Cloxly up and running, but we can't guarantee 100% uptime. Occasionally, we need to perform maintenance, roll out updates, or deal with unexpected issues. We don't offer a formal service level agreement (SLA), but we'll always do our best to minimize downtime and communicate about any disruptions.

Third-party integrations

Cloxly connects with various third-party tools. These services have their own terms and privacy policies, and we're not responsible for how they operate. When you enable an integration, you may be sharing data with that third party — make sure you're comfortable with their terms before connecting.

Intellectual property

Cloxly's software, design, branding, and documentation are owned by us and protected by intellectual property laws. These terms don't give you any rights to our trademarks, logos, or other brand elements. You're welcome to say you use Cloxly, but please don't imply that we endorse or are affiliated with your product or company.

Limitation of liability

We build Cloxly with care, but we provide it "as is." We don't make any warranties — express or implied — about the service being error-free, uninterrupted, or fit for any particular purpose.

To the maximum extent allowed by law, Cloxly's total liability to you for any claim related to the service is limited to the amount you've paid us in the 12 months before the claim arose. We're not liable for any indirect, incidental, or consequential damages — things like lost profits, lost data, or business interruption.

Disputes

If something goes wrong, we'd prefer to work it out directly. Before pursuing any formal action, please reach out to us first. If we can't resolve things informally, these terms are governed by the laws of the United States, and any disputes will be handled in the courts of the applicable jurisdiction.

Changes to these terms

We may update these terms from time to time. If we make significant changes, we'll let you know by email or with a notice in the app at least 30 days before the changes take effect. Continuing to use Cloxly after changes go into effect means you accept the updated terms.
